These Terms of Service ("Terms") govern your access to and use of the website summitclientservices.com and the services provided by Summit Client Services LLC ("Summit," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our website or services.
1. SERVICES OVERVIEW
Summit provides done-for-you business operations systems for owner-operated service contracting businesses. Our services include, but are not limited to:
Custom website design and hosting
AI receptionist setup and configuration (24/7 automated call handling)
CRM and lead pipeline configuration
Smart intake forms and job qualification systems
Calendar and appointment booking systems
Automated communications (appointment reminders, follow-ups, service updates)
Ongoing system maintenance, support, and managed services
What Is Included. Each service tier includes full system build and delivery, AI receptionist operation, website hosting, CRM access, pipeline management, and ongoing technical support. Two rounds of website design revisions are included during onboarding.
What Is Not Included. Unless otherwise agreed in writing, Summit does not provide advertising management, search engine optimization (SEO), paid traffic services, custom integrations beyond our standard system, or redesigns of previously completed and approved work. Out-of-scope work is quoted separately.
2. SERVICE TIERS AND PRICING
Summit offers monthly service tiers based on AI receptionist call volume. Current tier pricing and included call volume are provided during the sales process and outlined in your individual service agreement.
Calls beyond your tier allowance are billed at $4.00 per call.
Tier upgrades are available at any time and take effect on your next billing cycle.
All prices are quoted in U.S. dollars.
Summit reserves the right to adjust pricing with 30 days' written notice to active clients.
3. ONBOARDING AND DELIVERY
Upon execution of your service agreement and receipt of your first payment, Summit will build and deliver your complete system within 7 business days, contingent on the following:
You provide all required business information (business name, EIN, phone number, service area, services offered, logo, and branding materials) within 2 business days of contract execution.
You respond to communications, questions, and review requests in a timely manner.
Delays in providing required information or feedback will extend the delivery timeline accordingly. Summit is not responsible for delays caused by incomplete or late submissions from the client.
A live training session is included at the conclusion of onboarding.
4. PAYMENT TERMS
Billing cycle. Monthly, billed on the 1st of each month.
First payment. Your first payment covers full system setup and your first month of service.
Payment methods. Credit card or ACH bank transfer, processed securely through Stripe.
Late payments. A $150.00 late fee applies to any invoice that remains unpaid more than 5 business days after the due date.
Failed payments. If a scheduled payment fails, we will notify you and attempt to resolve the issue. Continued non-payment may result in suspension of services, including deactivation of your AI receptionist and system access, until the outstanding balance is resolved.
No refunds. Monthly service fees are non-refundable for the current billing period. You will continue to have access to all services through the end of your paid period.
5. TERM AND CANCELLATION
Month-to-month. All service agreements operate on a month-to-month basis. There are no long-term contracts or commitments.
Cancellation. Either party may cancel the service agreement with 30 days' written notice. Written notice may be delivered via email.
Effect of cancellation. Upon cancellation, your system will remain active through the end of your current paid billing period. After that, system access will be deactivated.
Data export. You may request a complete export of your data (leads, contacts, customer records, call recordings, and transcriptions) within 30 days of cancellation. Data exports are provided in CSV or PDF format at no additional charge. After the 30-day export window, your data will be removed from our active systems.
6. SERVICE AREA EXCLUSIVITY
Summit maintains a policy of accepting only one client per primary business location within each trade niche. Your primary business location is defined as the city or town where your business is physically based or headquartered.
This means we will not onboard a competing business in the same trade that is based in the same city or town as an existing client. Clients whose service areas overlap with another client's service area but who are based in different cities or towns are not considered conflicts.
Primary business location is determined during onboarding based on the information you provide. Summit reserves the right to determine whether a conflict exists.
7. CLIENT OBLIGATIONS
As a client, you agree to:
Provide accurate and complete business information as requested during onboarding and throughout the term of service
Respond to communications and support requests in a reasonable timeframe
Use the system and all communications sent through it in compliance with all applicable federal, state, and local laws, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any applicable state consumer protection and privacy laws
Not use Summit's systems to send spam, unsolicited messages, or communications for any unlawful purpose
Maintain accurate and current business information within your system
Notify Summit promptly of any changes to your business name, address, phone number, service area, or services offered
Failure to meet these obligations may result in service disruptions, and Summit shall not be held liable for any consequences arising from your noncompliance.
8. SUPPORT AND CHANGE REQUESTS
Support hours. Monday through Friday, 9:00 AM to 6:00 PM Eastern Time.
Urgent issues (system down, AI receptionist not functioning): 1 business day response.
Standard requests (content changes, configuration updates, general questions): 2 to 4 business days.
In-scope changes. Adjustments to existing system features, content updates, pipeline modifications, and AI receptionist configuration changes are included in your service tier at no additional cost.
Out-of-scope changes. Requests for new custom features, integrations not included in our standard system, or redesigns of previously completed work will be assessed and quoted separately before any work begins.
Support is contingent on the client providing necessary information and access in a timely manner. Summit is not responsible for delays caused by client unresponsiveness.
9. AI RECEPTIONIST AND CALL RECORDING
Our AI receptionist is an automated system powered by artificial intelligence. It is not a human operator.
The AI receptionist identifies itself as an AI assistant at the start of every call.
All calls handled by the AI receptionist are recorded and transcribed automatically. This is disclosed to callers at the beginning of each call.
Call recordings, transcriptions, and AI-generated summaries are provided to you for your business use and are accessible through your system dashboard.
You are solely responsible for ensuring that your use of call recordings complies with all applicable federal and state recording consent laws in the jurisdictions where you operate.
Summit is not liable for any claims arising from your use, storage, or distribution of call recordings or transcriptions.
10. INTELLECTUAL PROPERTY
Your data. You own all data generated through your use of the system, including but not limited to leads, customer contact information, call recordings, transcriptions, appointment records, and business records. This data is available for export at any time upon request.
Our systems. Summit retains full ownership of all system templates, automation workflows, AI configurations, website designs, code, proprietary processes, and intellectual property used to build and deliver your system. These are licensed to you for use during the term of your active service agreement and are not transferable.
No transfer of IP. Cancellation of your service agreement does not transfer any Summit intellectual property to you. You receive your data; the system infrastructure remains the property of Summit.
Summit Client Services LLC may send you SMS text messages related to demo requests, appointment reminders, follow-up communications, and service notifications. Messages are triggered by form submissions on our website. Message frequency varies based on your interaction with our services. Message and data rates may apply. To stop receiving text messages at any time, reply STOP to any message and you will receive a confirmation that you have been unsubscribed. For help, reply HELP to any message or contact us at (+1 734-359-6754). Summit Client Services LLC and mobile carriers are not liable for delayed or undelivered messages. You must be 18 years or older to opt in to our SMS messaging program.
11. DISCLAIMER OF GUARANTEES
SUMMIT DOES NOT GUARANTEE ANY SPECIFIC BUSINESS OUTCOMES.
This includes, but is not limited to: lead volume, revenue increases, customer acquisition rates, return on investment, call volume, booking rates, or any other performance metric.
Any projections, case studies, estimates, or examples shared during the sales process, on our website, or in marketing materials are illustrative only and do not constitute a promise, warranty, or guarantee of results.
Our service is to build, deliver, and maintain your business operations system. The results you achieve depend on factors outside our control, including but not limited to your market conditions, pricing, service quality, responsiveness to leads, geographic demand, competition, and overall business management.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Summit's total aggregate liability for any and all claims arising from or related to these Terms or our services shall not exceed the total fees actually paid by you to Summit in the three (3) months immediately preceding the event giving rise to the claim.
In no event shall Summit be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost data, business interruption, or cost of substitute services, regardless of the theory of liability and even if Summit has been advised of the possibility of such damages.
Summit is not liable for failures, outages, data loss, or service disruptions caused by third-party platforms, including but not limited to GoHighLevel, Stripe, AI voice service providers, Meta Platforms, internet service providers, or telecommunications carriers.
Summit is not liable for any business decisions you make based on data, reports, or AI-generated summaries provided through our systems.
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Summit Client Services LLC, its owners, members, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from or related to:
Your use of our services or systems
Your breach of these Terms
Your violation of any applicable law, regulation, or third-party rights
Any claim by a third party related to your business operations, marketing practices, or use of data obtained through the system
Your failure to comply with applicable call recording, SMS, telemarketing, or consumer protection laws
14. DISPUTE RESOLUTION
Governing law. These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict of law principles.
Informal resolution. Before initiating formal proceedings, both parties agree to attempt to resolve any dispute informally by contacting the other party in writing and allowing 30 days for resolution.
Binding arbitration. Any dispute that cannot be resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Arbitration shall take place in the State of Michigan. The arbitrator's decision shall be final and binding.
No class actions. All disputes shall be resolved on an individual basis. You agree to waive any right to participate in a class action, collective action, or representative proceeding against Summit.
Injunctive relief. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
15. MODIFICATIONS TO THESE TERMS
Summit reserves the right to modify these Terms at any time. When material changes are made, we will update the "Last Updated" date at the top of this page and notify active clients via email.
Your continued use of our services after updated Terms are posted constitutes your acceptance of those changes. If you do not agree with updated Terms, your sole remedy is to cancel your service in accordance with Section 5.
16. SEVERABILITY
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
17. WAIVER
The failure of Summit to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any term shall not be deemed a waiver of any other term or any subsequent breach.
18. ENTIRE AGREEMENT
These Terms, together with your individual service agreement and our Privacy Policy, constitute the entire agreement between you and Summit Client Services LLC regarding the use of our website and services. These Terms supersede all prior agreements, representations, and understandings, whether written or oral.
